These Terms & Conditions ("Terms") form a binding agreement between you and SideBIZ ("SideBIZ", "we", "us", "our"), governing your use of the SideBIZ web app and related services (the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Notice. If you do not agree, do not use the Service. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation. You must be of legal age in your jurisdiction to enter into this agreement.

SideBIZ is an AI-assisted daily accountability tool that generates business plans, daily missions, and progress tracking based on inputs you provide. Access is subject to the plan you select (free or paid).

You must provide accurate information and keep your account credentials confidential. You are responsible for all activity under your account. Notify us promptly of any unauthorised use.

You must not:

• use the Service for anything unlawful, fraudulent, or infringing;
• send spam or unsolicited communications through the Service;
• infringe intellectual property, publicity, or privacy rights;
• interfere with the Service or its security (e.g. malware, scraping, probing, reverse engineering, circumventing rate limits);
• use the Service to generate content that is illegal, harassing, deceptive, or harmful.

The Service uses AI models to generate business plans, missions, and related outputs. You are responsible for your prompts and inputs, for reviewing outputs, and for verifying accuracy before relying on them. Outputs may be inaccurate, incomplete, or unsuitable for your particular situation, and are not professional, legal, financial, tax, or investment advice. We may filter, moderate, or refuse to generate outputs, and may suspend accounts that misuse the AI features.

To the extent permitted by law and by the underlying model providers, you own the outputs generated for you, subject to your compliance with these Terms. You represent that you have the rights to any content you submit as input.

SideBIZ, including its software, design, documentation, and branding, is owned by SideBIZ and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes on your selected plan. You may not resell, redistribute, or sublicense the Service.

Paid plans are sold through our reseller, Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, currency, taxes, cancellations, and refunds are governed by Paddle's Buyer Terms and our Refund Policy.

Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. You can cancel at any time from your account or by contacting Paddle.

We work to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time.

We may suspend or terminate your access if you materially breach these Terms, fail to pay, create security or fraud risk, or repeatedly violate our policies. You may stop using the Service at any time. On termination, your right to use the Service ends and we may delete your account data after a reasonable period.

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is capped at the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) USD 100. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (including for fraud, death, or personal injury caused by negligence).

You will indemnify and hold harmless SideBIZ from claims arising out of your content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.

These Terms are governed by the laws applicable at the operator's place of business, without regard to conflict-of-laws principles. Disputes will be brought before the competent courts of that jurisdiction, unless applicable consumer protection law grants you rights to a different forum.
